Affiliate Agreement

This agreement describes the terms and conditions for any participation in our Affiliate Program. EntrepreneurOnlineTools.com (which includes PlayboysPlaybook.com); is property of and operated by Entrepreneur Online Tools. In this agreement, Entrepreneur Online Tools and the individual websites are collectively referred to as Entrepreneur Online Tools. In this agreement, the term “affiliate” refers to you (the applicant). Every time this agreement refers to “you” or “your”, it means “the affiliate”; and whenever it refers to “Us”, “we” or “our”, it means Entrepreneur Online Tools.

Affiliate Pages

PlayboysPlaybook.com will create a unique URL for you, once your affiliate application has been approved.

Commissions

You will receive 50% of sales made through your website. Your commission could rise up to 70% (super-affliiates).

Payment

Payments are made through 2checkout.com (2co.com); and you decide how to get paid, and how often.

Product delivery

Entrepreneur Online Tools Corp will be the only responsible for processing each order made by a customer through the affiliate site.

Customers

Customers who buy products and services through the Affiliate Program will be considered customers of Entrepreneur Online Tools. Therefore, all rules, policies and procedures regarding orders and service will apply to these customers. We reserve the right to change our policies and operation procedures at any time. Prices and availability of our products and services may vary sometimes. Entrepreneur Online Tools always determines the price paid by the customer.

Qualification

Entrepreneur Online Tools reserves the right to accept or reject any website into the Affiliate Program, based on the site’s contents. Sites that don’t qualify for Entrepreneur Online Tools’s Affiliate Program include sites that:

• Promote violence.
• Promote discrimination based on race, sex, religion, nationality, disabilities, sexual orientation, or age.
  
• Promote illegal activities.
  
• Violate intellectual rights.
  
• Unsolicited advertisement email (or SPAM).

Entrepreneur Online Tools does NOT use, recommend or endorse unsolicited massive email (that is, spamming), and it’s expected that all affiliates adhere to this policy too. Violation of this policy will imply the immediate termination of this contract, and expulsion from the Entrepreneur Online Tools Affiliate Program, with no right of reimbursement.

Relationship of parts

You and we are independent, and nothing in this agreement will create any association, agency, franchise, sales representation, or work relationship of any kind between the parts. You will have no authority to accept any offer or represent us on our behalf. You will not make any comment or declaration, whether in your site or otherwise, contradicting this statement.

Limitation of liability

We are not responsible for any indirect, special or derived damages (or any loss of income, profits, or data) that may arise in relation to this Agreement or the Program, even when we may have been warned about the possibility of such damages. Besides, our joint liability arising from this contract or the program will not exceed the total amount of commissions paid or to be paid to you as per the present agreement. You agree to indemnify and defend Entrepreneur Online Tools and its affiliates from and against any and all demands, claims, sues, losses, damages, responsibilities, costs and charges, including but not limited to interests, legal costs and fees, that may arise against us as a result or in relation to your advertising, marketing or sales program, or your participation in the Entrepreneur Online Tools affiliate program. The rights, actions and obligations that you have accepted here are an addition, and not a replacement, to any other resource we may be lawfully entitled to use in case of your violation or failure to comply.

Declarations

We make no warranty, express or implied, regarding our Affiliate Program, or the potential profits you may obtain from our Affiliate Program. In addition, we don’t guarantee that our or our affiliate’s sites will function uninterruptedly or error free, and we will be not responsible for any error or interruption of service. Any controversy or disagreement between the parts, regarding the interpretation of the terms in this agreement, will be put into arbitration according to the rules of the American Arbitration Association, and respecting the decision of the arbitrator will be mandatory for all the parts. You cannot delegate this agreement, by ministry of the law of any other means, without our prior written consent. Subject to this restriction, this agreement will be mandatory, will remain in benefit of, and opposable to, the parts and their respective cessionaries and successors. Our inability to ensure the strict application of any disposition on this Agreement will not constitute a renounce to our right to demand your compliance to such dispositions or any other disposition in this agreement. By accepting to be part of out Affiliate Program, you acknowledge that you have read and understood, and agreed to, this agreement’s terms and conditions. You further agree that you perform your own independent evaluation of this program, and don’t rely on any representation, warranty, or declaration not stated in this agreement.
